Deposit and billing50% deposit at acceptance (nothing under $2,500), plus 100% of special-order or long-lead material. At $10,000 and above, monthly progress billing on percentage complete — including fabricated goods not yet installed — with the balance due on completion.
Payment termsNet 15 days from invoice date. Past-due amounts carry 1.5% per month (18% per year) or the maximum lawful rate, whichever is less. Payment is not contingent on you being paid by an owner, lender or any third party.
Scope and changesWe perform only what is written on this estimate. Any change in scope, quantity, material, finish, dimension, location or schedule requires a written change order signed or confirmed by email. Verbal additions bind neither party.
Not includedPermits and permit fees, engineering and sealed drawings, concrete and footings, finishes and galvanizing, site preparation and haul-off, private utility locates, and repair of landscaping or hardscape disturbed by necessary access — unless this estimate says otherwise.
Site conditions and accessYou are responsible for clear and safe access, for identifying and marking all private utilities, and for the condition of the site. Concealed or unforeseen conditions such as rock, caliche, groundwater or buried debris entitle us to a change order for the resulting time and cost.
Your own paperwork is not acceptedAny terms and conditions on your purchase order, subcontract, vendor portal, work order or supplier manual are rejected and have no effect, whether or not TG Welding signs or performs against them, unless separately signed by an owner of TG Welding.
WarrantyOne year on workmanship from substantial completion. Material carries its manufacturer warranty. Excludes Central Texas soil movement, rust on bare steel, and damage from misuse, alteration or work performed by others.
ScheduleStart and completion dates are good-faith estimates and time is not of the essence. We are not liable for delay caused by weather, other trades, permits, material availability or changes, and we do not accept liquidated damages, delay damages or backcharges for the delay of others.
CancellationFabricated steel is cut, formed and welded to your job and has no resale value. On written cancellation you pay all labor and material costs incurred plus 20%, and 100% of the price of completed items, whether or not installed.
Limitation of liabilityOur total aggregate liability on all claims will not exceed the amount you have actually paid us. We are not liable for indirect, incidental, special or consequential damages, including lost profits or loss of use. This does not limit liability for bodily injury or damage to third-party property caused by our negligence.
Lien rightsTG Welding retains all mechanic's, materialman's, constitutional and statutory lien and bond-claim rights under Tex. Prop. Code Ch. 53 and the Texas Constitution. Nothing here waives them.
Law, venue and disputesTexas law governs. Exclusive venue is Williamson County, Texas. The parties will attempt direct discussion and then non-binding mediation before filing suit. The prevailing party recovers reasonable attorneys' fees.
AcceptanceAccepting this estimate forms a binding contract on these terms. Electronic acceptance is binding under the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code Ch. 322) and the federal E-SIGN Act (15 U.S.C. § 7001). The contract consists of this estimate, these terms, and any signed change order, and supersedes all prior discussions, texts and verbal understandings.
